JT&N has substantial expertise in private equity and venture capital investment, and represents a broad spectrum of clients, including independent private equity firms, private equity firm sponsors and financing sources, in private equity transactions. Our private equity practice is global, representing private equity sponsors and other transaction participants from around the world. JT&N lawyers have been actively involved in numerous VC and PE projects involving investors such as International Data Group (IDG), CDH Venture Fund, Intel, Carlyle, International Finance Corp (IFC), Sequoia, Singapore Vertex and Singapore OWW. The firm has developed excellent relationships with the PRC government ministries and regulatory agencies responsible for overseeing VC and PE investment into China.
  • Acted as PRC counsel to a major US international alternative asset management firm, in its 2008 purchase of US$15 million convertible notes issued by a PRC-owned BVI holding company, for purposes of private equity investments in China

  • Represented SUNAC China Holdings Limited Company (SUNAC Group) in the 2006 US$ 250,000,000 investment by Lehman Brothers and CDH Investment Fund Management Company (CDH Investment). This was the largest single private financing since the central PRC government imposed tighter restrictions on foreign investment in real estate in 2006. SUNAC Group is a domestic comprehensive property development company which has completed projects in Beijing, Chongqing, Wuxi, Suzhou and other cities in China. Lehman Brothers is an internationally-recognized US-based investment bank. CDH Investment is an international PE fund with a record of multiple successful investments in China

  • Acted as PRC counsel to China Finance Online Co., Ltd (www.jrj.com), a leading financial information and securities investment software provider in China, in its venture capital financing from IDG and Vertex and in its subsequent Nasdaq IPO in 2004

  • Acted as PRC counsel to ATA, Inc., a leading computerized test service provider in China in its venture capital financing from domestic private and state-owned investors and from overseas investors such as SAIF, and in its IPO on Nasdaq in 2008
