JT&N provides a broad range of legal services to registered and unregistered funds, fund management companies and advisers, based in Europe, the US and China. We advise our asset management clients on all aspects of their business activities in China, including regulatory matters, compliance, product design, distribution, customer relations, dispute resolution and enforcement matters.

JT&N brings a multidisciplinary approach to supporting its asset management clients in China, and our lawyers work together to advise such clients on the full range of legal issues relevant to their China transactions, particularly in the areas of mergers and acquisitions, QFII qualification, PRC banking and securities regulatory, and tax. Our US-trained lawyers are particularly active in assisting US asset management clients to efficiently structure direct investments and other forms of participation in PRC investment opportunities so as to meet both US and PRC legal and regulatory requirements.

We have extensive experience with a wide variety of alternative investment structures, including bank collective trust funds, private equity funds, hedge funds, and real estate investment trusts (REITs).

The firm is particularly strong in representing domestic and international asset management firms and banks before PRC regulatory agencies.

Some recent relevant experience includes:

  • Representing one of the largest US asset managers in negotiating investment management agreements with a major PRC institutional investor

  • Advising a major global asset manager on its application to CSRC for QFII status and the related private placement memorandum

  • Representing one of the largest US hedge funds in working with a major PRC QDII
